Payment Services Agreement

Effective Date: 07/07/2026

This Payment Services Agreement (“Agreement”) governs the use of payment services provided by Octalas Pay (“Octalas Pay”, “we”, “our”, or “us”). By registering for or using the Services, you (“Customer”, “Merchant”, or “you”) agree to be bound by this Agreement.


1. Scope of Services

Octalas Pay provides payment technology and related services, including:

  • Payment gateway services
  • Card payment acceptance
  • Digital wallet integration
  • Payment APIs
  • Payment orchestration
  • Merchant payment processing
  • Settlement reporting
  • Payment analytics
  • Fraud detection tools
  • Embedded payment solutions

Certain regulated payment services are performed through licensed banks, payment institutions, electronic money institutions, acquiring banks, or other authorised financial partners.


2. Eligibility

To use the Services, you must:

  • Be legally capable of entering into binding contracts.
  • Provide accurate registration information.
  • Successfully complete any required verification procedures.
  • Comply with all applicable laws and regulations.

Business users warrant that they have authority to bind their organisation.


3. Account Verification

Octalas Pay may require you to complete identity and business verification before activating Services.

Verification may include:

  • Government-issued identification
  • Business registration documents
  • Beneficial ownership information
  • Proof of address
  • Bank account verification
  • Source of funds documentation
  • Ongoing compliance reviews

Failure to provide requested information may result in delayed activation, suspension, or termination of Services.


4. Payment Processing

Transactions submitted through the Services are subject to:

  • Fraud screening
  • Compliance checks
  • Card scheme rules
  • Banking partner requirements
  • Regulatory obligations

Transaction approval is not guaranteed and may be declined for operational, compliance, or risk-related reasons.


5. Settlement

Approved transactions will be settled in accordance with your agreed settlement schedule.

Octalas Pay may delay or withhold settlements where necessary to:

  • Investigate suspected fraud.
  • Comply with legal or regulatory obligations.
  • Resolve disputes or chargebacks.
  • Manage financial risk.

6. Fees

Fees are outlined in your commercial agreement or pricing schedule and may include:

  • Transaction fees
  • Monthly platform fees
  • Settlement fees
  • Foreign exchange fees
  • Chargeback fees
  • API usage fees
  • Optional service fees

We reserve the right to amend fees with reasonable notice where permitted.


7. Refunds & Chargebacks

The Customer is responsible for:

  • Processing customer refunds where applicable.
  • Responding to chargebacks and retrieval requests.
  • Providing supporting documentation.
  • Maintaining sufficient balances to cover liabilities.

Chargeback fees may apply.


8. Security

Customers agree to:

  • Maintain secure access credentials.
  • Notify Octalas Pay immediately of suspected unauthorised access.
  • Protect customer payment information.
  • Follow applicable security standards.

Octalas Pay employs technical and organisational security measures but cannot guarantee uninterrupted or error-free operation.


9. Compliance

Customers agree to comply with all applicable:

  • Anti-Money Laundering (AML) laws
  • Counter-Terrorist Financing (CTF) regulations
  • Know Your Customer (KYC) requirements
  • Sanctions laws
  • Card scheme rules
  • Data protection legislation
  • Consumer protection laws

Octalas Pay may conduct ongoing compliance monitoring throughout the business relationship.


10. Prohibited Activities

The Services must not be used for:

  • Illegal activities
  • Fraudulent transactions
  • Money laundering
  • Terrorist financing
  • Sanctioned persons or jurisdictions
  • Counterfeit or prohibited goods
  • Activities that violate applicable laws or payment network rules

Octalas Pay may suspend or terminate Services immediately where prohibited activity is suspected.


11. Intellectual Property

All software, APIs, documentation, trademarks, branding, and technology remain the exclusive property of Octalas Pay or its licensors.

No licence or ownership rights are transferred except as expressly provided in this Agreement.


12. Service Availability

While we strive for continuous availability, the Services may be interrupted due to:

  • Scheduled maintenance
  • System upgrades
  • Third-party service disruptions
  • Cybersecurity incidents
  • Regulatory requirements
  • Events beyond our reasonable control

13. Limitation of Liability

To the fullest extent permitted by law, Octalas Pay shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, business opportunities, or data.

Our total liability under this Agreement shall not exceed the total fees paid by the Customer during the twelve (12) months preceding the event giving rise to the claim, except where liability cannot legally be excluded or limited.


14. Indemnity

The Customer agrees to indemnify and hold harmless Octalas Pay, its affiliates, directors, employees, licensors, and partners against claims, losses, liabilities, damages, and expenses arising from:

  • Breach of this Agreement.
  • Unlawful activities.
  • Customer products or services.
  • Regulatory violations.
  • Misuse of the Services.

15. Suspension & Termination

Octalas Pay may suspend or terminate access where:

  • Regulatory obligations require action.
  • Fraud or financial crime is suspected.
  • Verification requirements are not met.
  • The Customer breaches this Agreement.
  • Continued service presents an unacceptable risk.

Termination does not affect any accrued rights or outstanding financial obligations.


16. Data Protection

Personal information is processed in accordance with the Octalas Pay Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.


17. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which the contracting Octalas Pay entity is established, unless otherwise agreed in writing or required by applicable law.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.


18. Amendments

Octalas Pay may amend this Agreement from time to time. Updated versions will be published on our website and, where required, customers will be notified before material changes take effect.
