By accessing or using our Services, you agree to be legally bound by these Terms.
1. About Octalas Pay
Octalas Pay provides financial technology solutions including payment processing, merchant services, payment orchestration, payment APIs, embedded finance solutions, business payment tools, and related financial technology services.
Certain regulated services may be provided through authorised financial institutions, payment institutions, electronic money institutions, or licensed partners.
2. Eligibility
You confirm that you:
- Are at least 18 years old.
- Have authority to enter into these Terms.
- Will only use our Services for lawful purposes.
- Will provide accurate and complete information.
Business users warrant they are authorised to act on behalf of their organisation.
3. Account Registration
To access certain Services you may be required to create an account.
You agree to:

- Keep login credentials secure.
- Notify us immediately of unauthorised access.
- Accept responsibility for activities conducted under your account.
We reserve the right to suspend or terminate accounts where inaccurate information is provided.

To comply with applicable laws, including Anti-Money Laundering (AML), Counter Terrorist Financing (CTF), sanctions regulations and Know Your Customer (KYC) obligations, we may request:

- Beneficial ownership information
- Source of funds information
- Additional verification documents
Failure to provide requested information may result in delayed onboarding, suspension, or termination of Services.
5. Payment Services
Octalas Pay provides technology that facilitates payment acceptance and related financial services.
Payment processing may be performed by authorised third-party providers including banks, payment institutions, electronic money institutions, and payment processors.
Transaction approval, settlement timing, currency conversion, and processing availability may vary depending on provider requirements.
6. Merchant Responsibilities
Merchants agree to:
- Comply with all applicable laws and regulations.
- Operate lawful businesses.
- Deliver products and services as advertised.
- Maintain accurate customer records.
- Cooperate with fraud investigations.
- Promptly respond to disputes and chargebacks.
Merchants remain solely responsible for their products, services, and customer relationships.
7. Fees
Applicable fees will be disclosed separately within merchant agreements, pricing schedules, or service proposals.
Fees may include:
- Transaction fees
- Monthly platform fees
- Settlement fees
- Currency conversion fees
- Chargeback fees
- API usage fees
- Additional service charges
We reserve the right to amend pricing with reasonable notice where permitted.
8. Prohibited Activities
Users must not:
- Engage in illegal activity.
- Process prohibited transactions.
- Commit fraud or money laundering.
- Infringe intellectual property rights.
- Attempt to compromise system security.
- Introduce malicious software.
- Use the Services for sanctioned or prohibited activities.
We reserve the right to suspend accounts suspected of unlawful activity.
9. Compliance
Users agree to comply with:
- AML regulations
- KYC obligations
- Sanctions laws
- Data protection legislation
- Payment network rules
- Applicable financial regulations
Additional compliance reviews may be conducted at any time.
10. Intellectual Property
All software, trademarks, branding, APIs, documentation, content, and intellectual property remain the exclusive property of Octalas Pay or its licensors.
Nothing within these Terms transfers ownership of our intellectual property.
11. Third-Party Services
Certain Services integrate with third-party providers including payment processors, banking partners, fraud prevention providers, identity verification services, and financial institutions.
Octalas Pay is not responsible for third-party systems, interruptions, or services beyond our control.
12. Availability
While we aim to provide continuous availability, we do not guarantee uninterrupted access.
Services may be suspended due to:
- Maintenance
- Security incidents
- Regulatory requirements
- Third-party outages
- Technical failures
13. Limitation of Liability
To the maximum extent permitted by law, Octalas Pay shall not be liable for:
- Indirect damages
- Loss of profits
- Loss of revenue
- Loss of business
- Loss of data
- Business interruption
- Third-party failures
- Delays beyond our reasonable control
Our aggregate liability shall not exceed the total fees paid by the customer during the preceding twelve (12) months unless otherwise required by law.
14. Indemnity
You agree to indemnify and hold harmless Octalas Pay, its directors, employees, affiliates, and partners against claims arising from:
- Your breach of these Terms.
- Your unlawful activities.
- Your misuse of the Services.
- Your products or services.
15. Suspension & Termination
We may suspend or terminate access where:
- Fraud is suspected.
- Regulatory obligations require it.
- False information has been provided.
- These Terms have been breached.
- Continued service presents unacceptable risk.
16. Confidentiality
Both parties agree to protect confidential information exchanged during the course of providing Services except where disclosure is required by law or regulation.
17. Privacy
Your use of the Services is also governed by our Privacy Policy.
18. Force Majeure
Octalas Pay shall not be liable for delays or failures caused by events beyond its reasonable control including natural disasters, cyber incidents, government actions, telecommunications failures, or banking disruptions.
19. Governing Law
These Terms shall be governed by the laws of the jurisdiction in which the contracting Octalas Pay entity is established, unless otherwise required by applicable law.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
20. Changes to These Terms
We may amend these Terms from time to time. Updated versions will be published on our website and become effective upon publication unless otherwise stated.
